报告简介

This study uncovers a new determinant of director independence: corporate donations to charities affiliated with independent directors (affiliated donations). Our results suggest that affiliated donations are associated with greater CEO excess pay, lower CEO pay-for-performance sensitivity, and attenuated sensitivity of forced CEO turnover to firm performance. We find poor compensation practices only when firms make donations to charities affiliated with compensation committee members, especially when the compensation committee chair, multiple committee members, or a large fraction of the committee are involved. The association between affiliated donations and poor monitoring outcomes is mitigated by strong corporate governance.

杨珺教授简介
